The Service is operated by BPO GNA Philippines Inc., a corporation registered with the Philippine Securities and Exchange Commission under SEC Registration No. 2022120077511 (“Signly”, “we”, “us”, or “our”).
By creating an account, starting a trial, placing an order, or using the Service, you (“Customer” or “you”) agree to these Terms. If you accept on behalf of a company or other organization, you confirm that you are authorized to bind that organization, and “you” refers to that organization.

3. The Service
Signly lets you create, schedule, and publish content to screens and devices through a web browser. We may update, improve, or change features from time to time. If we remove a material feature of a paid plan during your subscription term, we will give reasonable notice.
Trials and beta features
Free trials, pilots, and features labelled “beta”, “preview”, or “early access” are provided as is, may be changed or discontinued at any time, and are excluded from any service-level commitments.
Your equipment and connectivity
You are responsible for the screens, media players, browsers, power, and internet connection needed to use the Service, unless we have expressly agreed in writing to supply them.
4. Plans, Fees, and Payment
- Fees. Fees are stated on our pricing page or in your order form, in Philippine Pesos (PHP) unless otherwise stated. Applicable taxes are shown at checkout or on your invoice.
- Billing. Subscriptions are billed in advance for each billing period (monthly, annually, or as stated in your order).

6. Your Content
“Customer Content” means text, images, video, data, playlists, and other material you or your users upload to or publish through the Service.
- Ownership. You keep all rights in your Customer Content.
- License to us. You grant Signly a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display Customer Content only as needed to provide, secure, and support the Service.
- Your responsibility. You are solely responsible for Customer Content and for what is displayed on your screens, including obtaining all licenses, permits, and consents required (for example, music, stock media, images of people, and outdoor advertising permits).
- Backups. You should keep your own copies of Customer Content. We are not responsible for loss of content you did not back up.
7. Intellectual Property
The Service, including its software, design, logos, the “Signly” name, templates, and documentation, is owned by Signly or its licensors and is protected by the Intellectual Property Code of the Philippines (R.A. 8293) and other laws. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription.
If you send us feedback or suggestions, we may use them freely without any obligation to you.
8. Privacy and Data Protection
Our collection and use of personal data is described in our Privacy Policy. Where Customer Content contains personal data, you act as the personal information controller and Signly acts as your personal information processor. You are responsible for having a lawful basis and any notices or consents required to process that data through the Service.
9. Third-Party Services
The Service may connect to third-party apps, content feeds, hosting, or payment providers. Your use of those services is governed by their own terms. Signly is not responsible for third-party services and does not guarantee their availability.
10. Availability and Support
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Planned maintenance will be announced in advance where reasonably possible. 11. Suspension and Termination
- By you. You may cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then.
- By us. We may suspend or terminate your account if you materially breach these Terms and do not cure the breach within fifteen (15) days of notice; immediately if you breach the Acceptable Use section, fail to pay, or if required by law or a government authority.
- After termination. Your right to use the Service ends. You may request an export of your Customer Content within thirty (30) days after termination; after that we may delete it, except where we must retain it by law.
- Sections that by their nature should survive (including fees owed, Your Content, Intellectual Property, Disclaimers, Limitation of Liability, Indemnity, and Governing Law) survive termination.
12. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. Signly disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet every requirement, be compatible with all hardware or browsers, or that displayed content will always appear on screen without delay or interruption.
Nothing in these Terms excludes any warranty or right that cannot be excluded under Philippine law, including rights under the Consumer Act of the Philippines.
13. Limitation of Liability
To the fullest extent permitted by law:
- Signly is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, goodwill, or data, even if advised of their possibility.
- Signly’s total liability for all claims relating to the Service is limited to the fees you actually paid to Signly in the twelve (12) months before the event giving rise to the claim.
- These limits do not apply to liability that cannot be limited by law, including liability for fraud, bad faith, or gross negligence under the Civil Code of the Philippines.
14. Indemnity
You agree to defend, indemnify, and hold harmless Signly, its affiliates, officers, directors, and employees from claims, losses, fines, and expenses (including reasonable attorney’s fees) arising from: (a) your Customer Content or what is displayed on your screens; (b) your breach of these Terms; or (c) your violation of any law or third-party right.
15. Confidentiality
Each party will keep confidential any non-public business, technical, or pricing information received from the other and use it only for purposes of these Terms, except information that is public, already known, independently developed, or required to be disclosed by law or court order.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date. For material changes, we will give at least fifteen (15) days’ notice by email or in-app notice. Continued use of the Service after the effective date means you accept the updated Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the Republic of the Philippines. Disputes are handled under our Dispute Resolution Policy. Subject to that policy, the proper courts of Cebu City, Philippines have exclusive jurisdiction, to the exclusion of all other venues.
